Binder Grösswang advises Wienerberger on the Austrian merger control on the acquisition of major business units of the Terreal Group
A Binder Grösswang team led by partner Christine Dietz is advising Wienerberger AG, one of the leading international suppliers of building materials and infrastructure solutions with group headquarters in Vienna, on the Austrian merger control in connection with the acquisition of major business units of Terreal Group, a French provider of roofing and solar solutions.
The object of the acquisition are the Terreal businesses in France, Italy, Spain and the USA as well as the Creaton business in Germany. The agreement to acquire the businesses, valued at an enterprise value of EUR 600 million (subject to adjustments), was signed at the end of December, marking the start of the exclusive negotiation phase. The closing is subject to a number of conditions typical for a transaction of this nature, including approvals from the relevant competition authorities, and is expected to take place in the course of 2023.
Merger control advice is being provided by ADVANT Beiten partners Uwe Wellmann and Christoph Heinrich, who are jointly responsible for merger control in Germany and coordinating law firms in various jurisdictions as lead counsel, including ADVANT Altana in France, Woźniak Legal in Poland, Radovanović Stojanović & Partners in Southeast Europe and Binder Grösswang in Austria.
